2. Applicability

These terms apply to all quotations, offers, activities, orders, agreements and deliveries of services or products by or on behalf of TC IT Services. Deviations are valid only if agreed explicitly and in writing.

3. Offers and quotations

Offers and quotations are without engagement unless expressly stated otherwise. An offer is valid for a maximum of one month unless a different acceptance period is stated. Repeated orders are not covered unless agreed explicitly in writing.

4. Acceptance

Upon acceptance of a quotation or offer without engagement, TC IT Services reserves the right to withdraw the quotation or offer within three days after receipt of the acceptance. Verbal acceptance binds TC IT Services only after written or electronic confirmation.

5. Prices

All prices used by TC IT Services are in euros, inclusive of VAT and exclusive of additional costs unless expressly stated otherwise. TC IT Services may adjust prices shown on the website or elsewhere. Unless explicitly agreed as fixed, a stated total price is considered a target price. TC IT Services may deviate up to 10% from the target price. Annual price adjustments may apply.

6. Payments

TC IT Services may request an advance payment of up to 50% of the agreed amount. Unless otherwise agreed, the customer must pay the full amount within one month after delivery. Payment terms are strict payment deadlines.

7. Right of withdrawal and return

Where legally applicable to consumers, the right of withdrawal applies in accordance with Dutch law. If products must be returned, the customer is required to do so within the applicable statutory period.

8. Retention of title and recovery

If the customer is in default, TC IT Services may invoke the right of recovery regarding unpaid delivered products. The costs of collection or return are at the expense of the customer. TC IT Services may retain products until outstanding invoices have been paid or sufficient security has been provided.

9. Performance and liability

Images, colours, drawings and descriptions on the website are indicative only and cannot lead to compensation, suspension or dissolution unless mandatory law provides otherwise. Any right to compensation expires within twelve months after the event from which the liability arose, without prejudice to mandatory Dutch law.

10. Dissolution

The customer may dissolve the agreement if TC IT Services culpably fails to perform its obligations, unless the shortcoming does not justify termination. TC IT Services may dissolve the agreement if the customer does not fulfil its obligations properly or in time.

11. Force majeure

TC IT Services is not liable for shortcomings caused by circumstances beyond its control, including but not limited to natural disasters, supplier failures, internet or telecom failures, strikes, government measures, unforeseen transport problems and work stoppages. If force majeure continues for at least 30 calendar days, either party may dissolve the agreement in writing in whole or in part.

12. Changes

TC IT Services may amend or supplement these terms and conditions. Changes of minor importance may be made at any time. Major changes will be discussed with the customer in advance as much as possible.

13. Transfer of rights

The customer may not transfer rights arising from an agreement with TC IT Services to third parties without prior written consent.

14. Applicable law and disputes

Dutch law applies exclusively to all agreements between the parties. The Dutch court in the district where TC IT Services is established has exclusive jurisdiction, unless mandatory law prescribes otherwise.
